Vendor Terms

Effective Date: 05-04-2025 These Vendor Terms and Conditions (“Agreement”) are entered into by any individual or organization (“Vendor,” “You,” “Your”) who registers, collaborates, or provides services/products to AWEBCs (Professional IT Web Consultancy Services) (“We,” “Us**,” “Our**”) through our official platform: www.awebcs.com. 1. Vendor Eligibility Vendors must be legally registered entities or individuals with a valid GSTIN (if applicable). Must have all necessary licenses, qualifications, or permissions to provide the service/product. 2. Scope of Services Vendors may be engaged for technical development, support, marketing, reselling, API access, or third-party integration. Work should be performed as per mutually agreed scope of work (SoW) or purchase order. 3. Payment Terms Payment will be made against valid invoices after service/product delivery and internal approval. Payment timelines: Within 15–30 working days, unless otherwise agreed in writing. AWEBCs reserves the right to deduct penalties for delayed/incomplete/defective deliveries. 4. Confidentiality Vendors must maintain strict confidentiality regarding any client data, source code, project information, or credentials shared. Any breach will lead to termination and possible legal action. 5. Intellectual Property All code, designs, documents, or deliverables developed for AWEBCs will be the sole property of AWEBCs, unless explicitly agreed otherwise. 6. Code of Conduct Vendors must: ✅ Adhere to ethical business practices ✅ Avoid misleading, fraudulent, or unauthorized actions ✅ Not subcontract any work without written permission 7. Termination Clause Either party may terminate the agreement with 15 days' written notice. In case of breach or misconduct, termination can be immediate. 8. Dispute Resolution Disputes shall be resolved amicably. If unresolved, they shall be subject to the jurisdiction of Udham Singh Nagar courts, Uttarakhand, under Indian laws. 9. Limitation of Liability AWEBCs shall not be liable for any indirect or consequential loss arising from your performance, unless caused by proven negligence on our part. 10. Amendments These terms may be updated periodically.
